Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website and services provided by micronovaes d.o.o. ("Company", "we", "us", or "our"). By accessing our website at micronovaes.pro or using our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these terms, you may not access our website or use our services. These Terms apply to all visitors, users, and clients who access or use our construction project KPI analytics dashboard services.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our services after any changes indicates your acceptance of the new Terms.

Service Description

micronovaes provides construction project analytics solutions, including custom dashboard development, performance monitoring, data integration services, and related consulting. Our services are designed to help construction companies optimise project performance through data-driven insights.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes that may affect our clients.

User Obligations

When using our website and services, you agree to comply with all applicable laws and regulations. You are responsible for ensuring that your use of our services does not violate any local, national, or international laws.

You agree not to:

Use our services for any unlawful or prohibited purpose
Attempt to gain unauthorised access to our systems or networks
Interfere with or disrupt our services or servers
Upload or transmit any malicious code, viruses, or harmful content
Violate the intellectual property rights of micronovaes or third parties
Provide false or misleading information when using our services

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

Intellectual Property

All content, software, designs, text, graphics, logos, and other materials on our website and in our services are the intellectual property of micronovaes d.o.o. or our licensors. This includes but is not limited to dashboard designs, analytics algorithms, proprietary methodologies, and documentation.

You may not reproduce, distribute, modify, or create derivative works from our intellectual property without our express written permission. Any unauthorised use of our intellectual property may result in legal action.

Client data and information provided to micronovaes remains the property of the client. We claim no ownership rights over client data, though we may use aggregated, anonymised data for service improvement purposes.

Upon full payment for custom development services, clients receive a licence to use the specific dashboard solutions created for their projects, subject to the terms of individual service agreements.

Payment Terms

Payment terms for our services are specified in individual service agreements or proposals. Unless otherwise agreed in writing, payment is due within 30 days of invoice date. All prices are quoted in Euros (EUR) and exclude applicable taxes unless stated otherwise.

We reserve the right to suspend or terminate services for non-payment. Late payments may incur additional charges as specified in the service agreement. Clients are responsible for all costs associated with collection of overdue amounts.

Confidentiality

micronovaes acknowledges that we may have access to confidential information during the provision of our services. We commit to maintaining the confidentiality of all client information and will not disclose such information to third parties without written consent, except as required by law.

This confidentiality obligation survives the termination of our service relationship and continues indefinitely unless the information becomes publicly available through no fault of micronovaes.

Limitation of Liability

To the maximum extent permitted by law, micronovaes d.o.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by the client for the specific services giving rise to the claim during the twelve months preceding the claim.

We provide our services "as is" and make no warranties, express or implied, regarding the performance, availability, or fitness for a particular purpose of our services. While we strive to provide accurate and reliable analytics solutions, we cannot guarantee specific business outcomes or results.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Force Majeure

micronovaes shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures of third-party systems.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Slovenia, without regard to conflict of law principles. The courts of Slovenia shall have exclusive jurisdiction over any disputes arising from these Terms or our services.

For clients located within the European Union, you may also have rights under the consumer protection laws of your country of residence. Nothing in these Terms limits such rights where they cannot be lawfully limited.

Any disputes shall first be addressed through good faith negotiations. If resolution cannot be reached, disputes may be submitted to binding arbitration in accordance with Slovenian arbitration rules.

Termination

Either party may terminate the service relationship at any time with appropriate notice as specified in the individual service agreement. micronovaes reserves the right to terminate services immediately if you breach these Terms or engage in activities that may harm our business or other clients.

Upon termination, you must cease all use of our services and return any confidential information. Provisions regarding intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

Termination does not relieve either party of obligations incurred prior to the termination date, including payment obligations for services already provided.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and micronovaes regarding the use of our services. These Terms supersede all prior communications and agreements relating to the subject matter.
